Family Business Governance, Council and Constitution
Course Description
This course will expose family members on the importance of family relationships preserved with the understanding that the family business is composed of three systems that make up family governance. Family, Business, and Ownership systems have different orientations that family members must understand influencing their behavior and attitude. Family Constitution puts in place values, rules, policies and structures in place for guidance of the business family in how they interact with one another as family, business and owners. Family Council is a formal structure for family members to meet, discuss and decide on important matters about the business taking into considerations the effect on family members

- Be able to differentiate, understand and practice learnings about Family, Business and Ownership for effective Governance of the family business
- Understand the value of a Family Constitution and how it can significantly reduce possible conflicts in the family business.
- Appreciate the importance of Rules, Policies and Structures that are necessary in maintaining harmony in the family to grow the business.
- Understand the importance of formal structures (councils) in conducting meetings for purposes of discussions and decision making.

Resource Person: Mr. Ricardo Mercado
Ricardo H. Mercado is a Professorial Lecturer and the Director- Founder of the Ateneo Family Business Development Center of the John Gokongwei School of Management, Ateneo de Manila University.
He taught Family Business Management in the same University for 25 years where he finished his Bachelor’s degree in Economics and MBA.
He has lectured on the subject of Family Business Management in San Francisco State University and has been a resource person in Family Business seminars and regular guest speaker in Family Business classes in Santa Clara University, University of San Diego and the University of the Pacific, Stockton.
He learned the skills of Family Therapy and Family Dynamics by taking the Professional Diploma Course at The Center for Family Ministries (CEFAM), Loyola House of Studies under the Jesuits.
He has been a family business consultant for about 25 years and was involved in his own successful Family Business for 27 years. He continues to do research and write articles on family business. Specializing in facilitating family businesses in crafting their family constitution, he has facilitated about 210 business families.
